Controller (Client): The entity that engages RedGobble for services and determines the purposes and means of processing personal data.
Processor (RedGobble): RedGobble (operated by Ritesh Pandey, India) processes personal data on behalf of the Controller in connection with the services provided under the master services agreement, statement of work, or other written agreement between the parties.
This Data Processing Agreement (DPA) forms an integral part of the agreement between RedGobble and the Client. Capitalized terms used but not defined herein shall have the meanings given to them in the applicable data protection laws or the principal agreement.
This DPA applies to all personal data processed by RedGobble on behalf of the Client in connection with the provision of services, including but not limited to software development, AI solutions, design, consulting, support, and maintenance.
The parties acknowledge and agree as follows:
RedGobble may process the following categories of personal data on behalf of the Client:

The Client authorizes RedGobble to engage the following subprocessors for the provision of services:
Subprocessor Addition or Replacement: RedGobble shall notify the Client at least 14 days before engaging any new subprocessor or replacing an existing one. The Client may object to the engagement within 7 days of notification. If the objection cannot be resolved, the Client may terminate the affected services without penalty.
RedGobble ensures that all subprocessors are bound by data processing terms substantially similar to those in this DPA and have adequate security measures in place.
RedGobble shall assist the Client in fulfilling its obligations to respond to data subject requests under applicable data protection laws.

This DPA shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. Any disputes arising from this DPA shall be resolved in accordance with the dispute resolution provisions of the principal agreement.
For Clients established in the European Economic Area (EEA), the United Kingdom, or Switzerland, the parties agree that the Standard Contractual Clauses (SCCs) approved by the European Commission shall apply to transfers of personal data from the EEA, UK, or Switzerland to India, and form an integral part of this DPA.
