By accessing or using RedGobble's website, services, or products, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must not use our services.
These terms apply to all visitors, clients, and users of RedGobble's platform and services. Additional terms may apply to specific projects or engagements and will be communicated in separate Statements of Work (SOW) or service agreements.
RedGobble provides the following services:
All services are provided on a professional basis with reasonable skill and care. Specific deliverables, timelines, and costs are defined in individual project proposals or Statements of Work.
Clients agree to:
Project scope, deliverables, milestones, and timelines are defined in the Statement of Work (SOW) or project proposal provided to the client. Any changes to scope must be agreed upon in writing and may result in adjustments to timelines and costs.
RedGobble reserves the right to decline scope changes that are not feasible within the original project framework. Additional work outside the agreed scope will be billed at standard hourly or daily rates.
Payment terms are as follows:
Upon full payment, clients receive full ownership of the custom-developed deliverables, including source code, design assets, and documentation specifically created for the project.
RedGobble retains the right to display completed work in our portfolio unless a non-disclosure agreement is in place.
RedGobble retains all intellectual property rights to pre-existing tools, frameworks, libraries, and methodologies used during project development. Client-provided content, brand assets, and data remain the property of the client.
Custom-developed code, designs, and deliverables are transferred to the client upon full payment, subject to the terms outlined in the project agreement.
Both parties agree to maintain the confidentiality of all proprietary information shared during the course of the engagement. Confidential information includes business strategies, technical specifications, financial data, and any information marked as confidential.
Confidentiality obligations survive the termination of the agreement for a period of 3 years.
We strive to maintain 99.9% uptime for hosted services and platforms. However, we do not guarantee uninterrupted service due to maintenance, technical issues, or factors beyond our control.
Scheduled maintenance will be communicated at least 48 hours in advance. Emergency maintenance will be performed as needed with best-effort notification.
Either party may terminate the agreement with 30 days written notice. In the event of termination, the client shall pay for all work completed up to the termination date. RedGobble will deliver all completed work products upon full payment of outstanding invoices.
We reserve the right to terminate immediately in cases of breach of terms, non-payment, or illegal activity.
Any disputes arising from these terms shall first be attempted to be resolved through informal negotiation. If resolution cannot be reached within 30 days, disputes shall be settled through binding arbitration in accordance with Indian arbitration laws.
The arbitration shall be conducted in English in India. Each party shall bear its own legal costs unless otherwise determined by the arbitrator.
These Terms & Conditions are governed by and construed in accordance with the laws of India. Any legal actions shall be brought exclusively in the courts of India.
We reserve the right to modify these terms at any time. Changes will be effective 30 days after posting. Continued use of our services after changes constitutes acceptance of the updated terms. We will notify clients of material changes via email.
